Audited Financial Statements vs. Corporate Tax Review in the UAE
Tax Assurance

Quick answer: An external financial audit and an independent Corporate Tax review serve different purposes. The audit examines financial statements against an applicable financial-reporting framework. A tax review asks whether the company’s tax treatment is consistent with UAE legislation, the facts and the supporting evidence. Both can be useful, but neither automatically replaces the other.
The question a financial audit is designed to answer
An auditor assesses whether the financial statements are presented fairly, in all material respects, under the applicable reporting framework. This involves audit evidence, materiality, accounting judgments and financial-statement disclosures.
That work can provide a strong basis for financial reporting. But a financial-statement audit is not automatically an opinion that every tax relief, VAT classification, transfer-pricing treatment or Qualifying Free Zone Person condition is correct.
The different question asked by a tax reviewer
A tax review begins with the specific tax conclusion. What legal provision supports it? Which facts matter? How do the contracts, transactions and records demonstrate those facts? What uncertainty remains?
Consider a Free Zone business that recognises consulting revenue correctly under IFRS 15. A separate Corporate Tax review may still need to determine whether each income stream is Qualifying Income, whether an activity is excluded and whether the entity meets the wider QFZP conditions.
An accurate accounting amount does not answer all those questions.
Four areas where the difference matters
Revenue recognised under IFRS
The timing and measurement of revenue may be supported by IFRS 15, while Corporate Tax still requires examination of the taxable entity, exemptions, reliefs and special Free Zone treatment.
Related-party charges
Accounting records may show an expense and an intercompany invoice. Corporate Tax can require further analysis of whether related-party pricing meets the arm’s length principle and whether the cost is deductible under the relevant provisions.
Provisions and adjustments
A provision may be appropriately recognised under accounting standards but require tax adjustments or elections when determining Taxable Income. The correct treatment depends on the nature of the item and the applicable legislation.
VAT classification
An audit of financial statements does not replace a detailed VAT assessment of zero-rated supplies, exempt supplies, the reverse-charge mechanism and the evidence supporting each treatment.
What should a CFO request from an independent tax review?
A useful report should identify the reviewed entities and Tax Periods, the material tax questions, the financial data and contracts examined, the legal provisions applied, conclusions and limitations, and recommended actions. It should also distinguish confirmed issues from matters requiring further investigation.
A conclusion without a clear evidence trail is difficult for management to evaluate, and difficult for a later reviewer to reproduce.
Why timing is important
The review is more valuable before a major tax position is signed off or a return is filed. It is easier to obtain missing contracts, clarify facts or correct classifications before management has committed to the treatment.
That does not mean an independent review must delay every filing. A sensible approach is risk-based: give higher priority to unusual transactions, Free Zone treatment, material adjustments, cross-border supplies and related-party arrangements.
Frequently asked questions
Does an unqualified audit opinion mean the Corporate Tax Return is correct? No. The audit opinion concerns the financial statements. The return requires its own tax analysis and computation.
Do QFZPs require audited financial statements? The QFZP regime includes an audited-financial-statements requirement. The scope and applicable requirements should be checked against current Corporate Tax decisions.
Does a tax review repeat the financial audit? Not necessarily. It can use audited figures as a starting point while focusing on tax classifications, adjustments and support for selected positions.
Can a company use its existing tax adviser and an independent reviewer? Yes. A clearly defined second-review scope can complement the primary preparer’s work, subject to professional arrangements and independence considerations.
